Types of NDAs
There are generally two types of NDAs:
- Unilateral NDA: One-way agreement. Best used when only one party is disclosing confidential information (e.g., a company hiring a freelancer).
- Mutual NDA: Two-way agreement. Best used when both parties are sharing confidential information with each other (e.g., two companies exploring a joint venture).
Frequently Asked Questions
What the generator asks you
The NDA uses your company name, company address and country, plus today's date. Your company becomes the disclosing party and the country is written into the governing-law clause; the receiving party is left blank for you to complete. The website, URL and contact-email fields on the shared form are not used in this document.
What the finished document covers
- Definition of Confidential Information
- Obligations of Receiving Party
- Exclusions
- Term
- Governing Law
- Signature blocks for both parties
What it does not do
This is a one-way (unilateral) agreement; a mutual NDA where both sides disclose is not an option in this generator. The term clause contains the placeholder [X] years, which you must replace, and the recipient's name and signature line are left blank. There is no severability clause. The country is printed into the governing-law clause but the wording is otherwise the same everywhere. It is a template, not legal advice.
